Our commercial finance attorneys represent many of the region’s acquisition and development commercial lenders and institutional financing sources, and also act as local counsel to a number of out-of-state lenders. We assist banks in structuring and closing term loans, credit enhancement facilities, revolving credit facilities, asset-based loans, and multiple currency facilities, and frequently represent agent banks in syndicated multi-bank credit facilities. Our team has significant structured finance experience as well as experience with commercial paper and medium-term note financing facilities.
Real Estate Finance
Our attorneys have extensive experience assisting financial institutions, commercial real estate owners, investors, and developers in structuring and closing complex financing transactions. Paired with deep knowledge of the regional real estate market, our work in environmental, real estate and land use and zoning law allows us to fully serve the broader needs of financial institutions and real estate developers. We represent lenders in connection with letter of credit enhancements for industrial development agency transactions on behalf of lenders. Our understanding of lender liability and creditors’ rights issues allows us to counsel clients on the risks of any particular transaction. We regularly represent real estate developers and owners in obtaining public benefits through industrial development agencies and local economic assistance corporations.
Securities Law
Whether a company is seeking to access public securities markets in an initial public offering or to sell securities in a private placement, the experienced Farrell Fritz team assists with the structuring, strategy, and implementing these transactions. Deeply experienced in equity and debt securities offerings, we counsel clients in underwritten public offerings, private placements, private investments in public equity (PIPES), reverse mergers, rights offerings, exchange offerings and shelf offerings. Our commercial finance attorneys also represent individual and institutional investors in the formation of investment funds, investment in portfolio companies, and implementation of exit strategies.
Clients seek our advice in reporting and compliance obligations under federal and state securities laws, stock exchange regulations and related matters.
