CLE Seminar: Corporate Dissolution Proceedings: Basics & Current Issues
Peter A. Mahler, litigation partner & author of the New York Business Divorce blog (www.nybusinessdivorce.com), will be presenting. This seminar will provide an overview of involuntary dissolution proceedings under Sections 1104 and 1104-a of the Business Corporation Law and Section 702 of the Limited Liability Company Law, including standing requirements, grounds for dissolution, defenses, procedural aspects, statutory buyout proceedings and settlement considerations. The seminar will also highlight recent case law developments concerning foreign corporations, rights of first refusal triggered by dissolution, interim remedies, valuation discounts and restrictive covenants in buyout proceedings.
Lunch will be served promptly at 12:00 noon; seminar immediately following 12:15 p.m. to 1:15 p.m. This seminar is suitable for transitional and non-transitional attorneys. 1.0 credit in professional practice will be awarded.
