Suffolk Academy of Law CLE program, "Shareholder Dissolutions: Advising Clients Before and After"
Breaking up is hard to do! But effective counsel can help ease the way. This thorough program, featuring an experienced faculty, will bolster your ability to advise clients involved in a stockholder dissolution. Topics include: standing to bring suit; grounds for dissolution; determining when dissolution is the proper remedy; dissolution requirements; ancillary relief (receiver); who pays; dealing with deadlock among directors or shareholders; discretion of the court; timing of election to buy-out; valuation issues; proceedings, and more. Sections 1001, 1004-1, 1104, and 1118 will be covered in depth. Hypotheticals dispersed among the lectures will add clarity and practical insight.
