This updated version of the New York State Bar Association’s popular program on counseling business organizations offers practical coverage of the planning process involved in whether to choose the LLC form and the preparation and drafting of key segments of an LLC’s operating agreement, including the comparative advantages and disadvantages of organizing under Delaware or New York law.

Valuation and buy-sell provisions, in the contact of how best to address and draft for these issues, will be covered.

The speakers will spend considerable time addressing practical problems and solutions.  They will highlight drafting tips for the attorney/business counselor and discuss the interplay between the type of business to be conducted by the company, the client’s objectives and the selection of specific provisions in the oeprating agreement.

Of special note is the inclusion in the program of discussion of where potential litigation may arise “down the road” for an LLC, depending on how you draft and what you put in an operating agreement.

 

The NYSBA Committee on Continuing Legal Education is sponsoring this program.  4.5 MCLE credits (2.0 law practice management/areas of professional practice; 2.0 skills; 0.5 ethics) will be awarded.  This course has been approved for all attorneys, including those who are newly-admitted.
